B. Carter Agency – Terms of Service

Welcome to B. Carter Agency. These Terms of Service (“Terms”) govern your use of our website, services, and products. By accessing or using our services, you agree to be bound by these Terms.
1. Services Provided
B. Carter Agency provides business development, operations consulting, project management, customer success consulting, web development, and other related services as described on our website and agreed upon in service contracts.
2. Client Responsibilities
- Clients must provide accurate information and communicate promptly.
- Clients are responsible for any materials, content, or approvals needed to complete projects.
- Clients must ensure timely payment as per agreed-upon invoices and payment terms.
3. Payment Terms
- Payments must be made as per the terms outlined in the service agreement.
- Late payments may incur a late fee of 3% per month on outstanding balances.
- Subscription-based services require recurring payments, with cancellation policies outlined in Section 6.
4. Confidentiality
- Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement.
- Subcontractors and third parties engaged by B. Carter Agency will also be required to maintain confidentiality.
5. Intellectual Property
- B. Carter Agency retains ownership of methodologies, frameworks, and proprietary tools developed during service execution.
- Clients will own any final deliverables explicitly stated in the service agreement upon full payment.
6. Subscription and Cancellation Policy
- Subscription plans are billed monthly.
- Unused hours roll over for one month before expiring.
- Cancellations require 14 days’ notice before the next billing cycle.
- Refunds are not provided for partially used subscription periods.
7. Limitation of Liability
- B. Carter Agency is not liable for indirect, incidental, or consequential damages arising from the use of our services.
- Our total liability shall not exceed the amount paid by the client for services within the last three months.
8. Termination of Services
- We reserve the right to terminate services if a client breaches these Terms, engages in unethical business practices, or fails to pay for services.
- Clients may also terminate services, subject to any ongoing contractual obligations.
9. Governing Law
These Terms are governed by the laws of the State of Georgia, and any disputes will be resolved in a Georgia court of law.
10. Amendments
B. Carter Agency reserves the right to update these Terms at any time. Clients will be notified of significant changes via email or website updates.
